1. Acceptance of These Terms 

These Terms & Conditions ("Terms") govern access to swopblock.com and participation in the SMS messaging service offered by Swopblock LLC ("Swopblock," "we," "us," or "our"). By using the website, opting in to SMS, or continuing to use the SMS service, you agree to these Terms. If you do not agree, do not use the applicable service. 

2. About the SMS Service 

The SMS service supports conversational, person-to-person business communications between individual Swopblock employees and customers, investors, vendors, and business partners. Messages may relate to inquiries, support, scheduling, account or relationship communications, and ordinary business follow-up. This SMS program is not intended for mass marketing, promotional broadcasts, or automated messaging. 

3. Opting In 

You may opt in by voluntarily providing your mobile telephone number to Swopblock and agreeing to receive SMS communications during a business interaction, support request, website submission, meeting, or ongoing business relationship. Consent to receive SMS is not a condition of purchasing any product or service. 

4. Message Frequency and Charges 

  • Frequency: Message frequency varies according to your inquiry, request, or business relationship. 

  • Carrier charges: Message and data rates may apply. Your mobile carrier's charges and terms are your responsibility. 

  • Delivery: Mobile carriers are not liable for delayed or undelivered messages. Delivery and availability are not guaranteed. 

5. Opt-Out and Help 

To stop messages, reply STOP. After receiving a STOP request, Swopblock will stop further messages under the same SMS program unless you later opt in again. To request assistance, reply HELP or email admin@swopblock.com.

Other recognized opt-out words may also be honored where supported. If your mobile number changes or is reassigned, you should notify Swopblock or opt out before discontinuing use of the number. 

6. Your Responsibilities 

  • Provide accurate contact information and use only a number that you are authorized to use. 

  • Do not use the website or SMS service for unlawful, abusive, deceptive, infringing, or harmful activity. 

  • Do not attempt to disrupt, probe, reverse engineer, or gain unauthorized access to systems or accounts. 

  • Comply with applicable laws and the terms of your mobile carrier and device provider. 

7. Privacy 

Our collection and use of personal information is described in the Swopblock LLC Privacy Policy. SMS consent and mobile information will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes. 

8. Intellectual Property 

The website and its original content, branding, graphics, software, and other materials are owned by or licensed to Swopblock and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, license, or create derivative works from protected materials. 

9. Third-Party Services and Links 

The website and SMS service may depend on telecommunications carriers, Microsoft Teams, hosting providers, and other third-party services. Third-party services are governed by their own terms and policies. Swopblock is not responsible for third-party services outside Swopblock's control. 

10. Service Changes and Termination 

We may modify, suspend, or discontinue all or part of the website or SMS service when reasonably necessary for operations, security, compliance, or business reasons. We may restrict access or messaging where these Terms, applicable law, or service-provider requirements are violated. 

11. Disclaimers 

The website and SMS service are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Swopblock disclaims warranties that are not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Messages are informational business communications and should not be treated as legal, tax, investment, or financial advice. 

12. Limitation of Liability 

To the fullest extent permitted by law, Swopblock and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, goodwill, or business opportunity arising from or relating to the website or SMS service. Some jurisdictions do not allow certain limitations, so these limitations may not apply in full. 

13. Governing Law 

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise. Nothing in these Terms limits rights that cannot lawfully be waived. 

14. Changes to These Terms 

We may update these Terms from time to time. The revised version will show a new effective date. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
